1. Acceptance of Terms

By accessing or using the ZeroApply platform, website, mobile applications, and related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.

These Terms constitute a legally binding agreement between you and ZeroApply Inc. ("ZeroApply," "we," "us," or "our"). We may update these Terms from time to time. Your continued use of the Services after any changes constitutes acceptance of the updated Terms.

2. Eligibility

You must be at least 16 years old (or the age of majority in your jurisdiction) to use the Services. By using the Services, you represent and warrant that you meet these eligibility requirements.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Account Registration

To access certain features of the Services, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your account information as needed
• Keep your password secure and confidential
• Be responsible for all activity that occurs under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate your account at any time if we reasonably believe that you have violated these Terms or if your account activity poses a risk to the platform.

4. Services Description

ZeroApply provides an automated job application platform that helps job seekers discover, apply for, and track job opportunities. Our Services include, but are not limited to:

• Job discovery and matching based on your profile and preferences
• Automated job application submission
• Resume and profile management tools
• Application tracking and status updates
• Communication tools between job seekers and employers

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice, without liability to you.

5. User Conduct

You agree not to use the Services to:

• Submit false, misleading, or fraudulent information
• Impersonate any person or entity
• Violate any applicable laws, regulations, or third-party rights
• Upload or transmit viruses, malware, or other harmful code
• Attempt to gain unauthorized access to our systems or networks
• Scrape, crawl, or use automated tools to extract data from our platform without permission
• Interfere with or disrupt the Services or servers
• Harass, threaten, or abuse other users
• Use the Services for any purpose that is illegal or prohibited by these Terms

6. User Content

You retain ownership of any content you submit, post, or upload through the Services ("User Content"), including resumes, cover letters, profiles, and application materials.

By submitting User Content, you grant ZeroApply a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, and display your User Content solely for the purpose of providing and improving the Services.

You represent and warrant that you have the right to submit all User Content and that your content does not violate any third-party rights, applicable laws, or these Terms.

7. Intellectual Property

The Services, including all content, features, functionality, designs, logos, trademarks, and software, are owned by ZeroApply or its licensors and are protected by intellectual property laws.

You may not copy, modify, distribute, sell, lease, or create derivative works based on any part of the Services without our prior written consent.

8. Payment and Subscriptions

Certain features of the Services may require a paid subscription or one-time payment. By purchasing a subscription or making a payment, you agree to:

• Pay all applicable fees as described at the time of purchase
• Provide accurate and valid payment information
• Authorize us to charge your payment method for recurring fees (if applicable)

8.1 Cancellation and Refunds

You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing period. Refunds are provided at our discretion and in accordance with applicable laws.

8.2 Price Changes

We reserve the right to change our prices at any time. If you have an active subscription, we will notify you at least 30 days before any price increase takes effect.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, ZEROAPPLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY INFORMATION PROVIDED THROUGH THE SERVICES

ZeroApply does not guarantee job placement, interviews, or any specific outcomes from using the Services. We are not responsible for the hiring decisions of employers or the accuracy of job postings.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ZEROAPPLY, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Services
• Any conduct or content of any third party on the Services
• Any content obtained from the Services
• Unauthorized access, use, or alteration of your transmissions or content

Our total aggregate liability for any claims arising from or related to the Services shall not exceed the greater of (a) the amount you paid us in the twelve (12) months prior to the claim or (b) one hundred dollars ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless ZeroApply and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Your User Content

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

12.1 Arbitration

Any dispute arising from or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

12.2 Class Action Waiver

YOU AGREE THAT ANY DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS AND THAT YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING.

12.3 Exceptions

Notwithstanding the above, either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

13. Termination

We may terminate or suspend your access to the Services at any time, with or without cause, and with or without notice. Upon termination:

• Your right to use the Services will immediately cease
• We may delete your account and User Content
• Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution

14. Miscellaneous

14.1 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

14.2 Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published by us on the Services, constitute the entire agreement between you and ZeroApply with respect to the Services.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

14.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
